Gallitano & O'Connor has represented both public and private universities and higher education clients in their acquisition of enterprise resource planning (ERP) systems and other enabling technologies.  Dennis Gallitano is an Individual Associate Member of the National Association of University and College Attorneys (NACUA) and has spoken at NACUA's Technology Conference on the topic of computer system acquisitions and designing and improving procurement processes.

Representative Transactions

  • We represented a large, public university in its acquisition and implementation of Workday's SaaS HR and Payroll systems.  The procurement was designed as a 4-stage, structured process, involving concurrent negotiations with finalist bidders and completing preliminary project planning workshop.
                
  • We represented a state-wide higher education system comprising universities, colleges and community colleges acquiring a student information system with options to expand to finance and HR/payroll.  The state system negotiated two separate contracts, one for the ERP software vendor and the other for the implementation.  The procurement included finalizing the project plan, resource plan and statement of work.
                
  • We represented a large, city-based university with multiple 4-year colleges, community colleges and extensive continuing education programs.  The procurement process was designed around concurrent negotiations with 2 finalist bidders.  The ERP system included finance, HR/payroll and student information system, along with a significant long-term hosting arrangement.  This university ERP system acquisition is one of the largest transactions in the higher education industry.
       
  • We represented a large state-wide community and technical college system purchasing finance, HR/payroll, student information and business intelligence/data warehousing systems.  The purchase of the solution platform was split from the purchase of implementation services.  The procurement process included concurrent negotiations for implementation services with both the solution provider and a systems integrator.  Project planning workshops were conducted to finalize the detailed project plan, resource plan and statement of work.
       
  • We represented a leading research university acquisition of its HR/payroll system.  The procurement involved active negotiations with multiple solution vendors, and multiple systems integrators.
