We take a comprehensive, full life-cycle approach to negotiating and documenting an outsourcing arrangement, from the beginning of transition through final disentanglement. We often help our clients prepare and analyze the legal aspects of RFPs and responses, and we typically remain involved long after the ink has dried on the contract to address contract interpretation issues, document changes to the relationship and develop strategies for resolving disputes.

  • Technology Outsourcing - We have worked on a large numer of technology outsourcing transactions, including those involving data center, voice and data communications, desktop support, applications development and management, help desk, security, data storage, disaster recovery, web site development and hosting services. We frequently work to restructure and improve existing outsourcing arrangements. In one case, we were able to reduce costs in a five-year transaction by over 40%, generating savings to our client of over $10 million.
  • Business Process Outsourcing - We represent companies that have outsourced a variety of business functions, including health care claims processing, document imaging, disaster recovery, applications development, travel and other services.

Representative Transactions

  • On behalf of a large international manufacturing company, we negotiated an outsourcing transaction involving data center, help desk, distributed computing and voice and data communications services to be provided in the United States and in 10 European countries. Later, when the same client sold a subsidiary, we negotiated the terms of the seller's on-going technology support obligations, including those to be provided by the outsourced services provider. 
  • On behalf of a leading marketing information research company that determined that a "grid computing" outsourced solution would be the most effective solution for its business, we negotiated a data center, help desk, distributed computing and voice and data communications services outsourcing arrangement with a significant developement and business transformation component.
  • We have represented a number of clients in outsourcing arrangements involving health care claims processing.
  • We have represented a number of clients in transactions involving outsourced document imaging services.
  • We represented a leading pharmaceutical research company in a transaction involving applications development/re-platforming, business transformation services, and outsourced data center, help desk, distributed computing and voice and data communications services.
  • We represented a major financial services company in a data center, help desk, distributed computing, voice and data communications, output processing and content management services outsourcing arrangement.
